PT Perusahaan Gas Negara (Persero) Tbk PGN,known as “PGAS” on Indonesia Stock Exchange is a State-Owned Enterprise established in 1859 as FirmL.I. Enthoven & Co.

In 1950, the Dutch Government changed the name to NV Overzeese Gas en Electriciteit Maatschappij (NV OGEM). Following the Independence of the Republic of Indonesia, the government took over the ownership of the Company and changed the name to Penguasa Perusahaan Peralihan Listrik dan Gas (P3LG). The status of the Company then changed into BPU PLN in 1961.

On May 13, 1965, based on Government Regulation No. 19/1965, the Company was stated as state owned enterprise and known as Perusahaan Gas Negara (PGN). Then, based on Government Regulation No. 27 of 1984, the Company legal status was changed from Perusahaan Negara (PN) to Perusahaan Umum (“Perum”).

Thereafter, the Company status was changed from Perum to Limited Liability company, PT Perusahaan Gas Negara (Persero), based on Government Regulation No. 37 of 1994 and Deed of Establishment No. 486 dated May 30, 1996 legalized by Notary Adam Kasdarmaji, SH.

Folowing the change of status to public company, the Company’s Articles of Association was amended by the notarial deed no. 5 of Fathiah Helmi, S.H. dated November 3, 2003, among other concerning
the change of capital structure. This change was legalized by the Minister of Judiciary and Human Rights of the Republic of Indonesia in the Decision Letter No. C-2 6467 HT.01.04 year 2003 dated November 4, 2003, and announced in the Gazette of the Republic of Indonesia No. 94 with the Supplement No. 1176 9 dated November 24, 2003.

In 2003, the Company through PGN Euro Finance 2003 Limited (PGNEF), the Subsidiary, registered USD150 million Guaranteed Notes that due in 2013 in Singapore Exchange Securities Trading Limited. In 2004, the Company through PGNEF, registered USD125 million Guaranteed Notes that due in 2014.

On December 5, 2003, the Company received an effective statement from Capital Market Supervisory Board to conduct Initial Public Offering of 1,296,296,000 shares, consisting of 475,309,000 shares from the Government of Republic of Indonesia divestment, the Company shareholders and 820,987,000 new issues.

Afterwards, the Company was known as PT Perusahaan Gas Negara (Persero) Tbk. The Company shares listed on Jakarta Stock Exchange and Surabaya Stock Exchange on December 15, 2003 with trading transaction code PGAS.

In accordance with the Law No. 40 year 2007 concerning Perseroan Terbatas and related to stock split, the Company’s Articles of Associationhas been changed, most recently by Deed No. 50 dated June 13, 2008 jo. Deed No. 8 dated July 2, 2008 of the Notary Fathiah Helmi, SH., and was legalized in the Decision of the Minister of Judiciary and Human Rights of the Republic of Indonesia No. AHU-36323 AH.01.02 dated June 27, 2008 concerning Persetujuan Akta Perubahan Anggaran Dasar Perseroan Terbatas PT Perusahaan Gas Negara (Persero) Tbk jo. Letter of Minister of Judiciary and Human Rights of the Republic of Indonesia No. AHU-AH.01.10-17228 dated July 7, 2008 regarding Penerimaan Pemberitahuan Perubahan Anggaran Dasar Perusahaan Perseroan (Persero) PT Perusahaan Gas Negara Tbk.
